These Standard Terms and Conditions govern all products and services provided by Techiegeeks (“Provider”) to any customer (“Customer”) under any written agreement, including service level agreements, statements of work, proposals, quotes, or purchase orders (“Agreement”). These Terms supplement and are incorporated into each Agreement. In case of conflict, these Terms shall prevail unless the Agreement explicitly states otherwise.

Deliverables include:

• Software: All software, databases, updates, enhancements, bug fixes, and related documentation.
• Services: All design, development, support, consulting, and maintenance services.
• Hardware: Any physical equipment provided.

Techiegeeks provides software using:

• Techiegeeks Software: Original and custom-developed code.
• Generic and Pre-existing Software: Libraries, routines, modules, and code previously developed by Techiegeeks.
• Third-Party Software: Software licensed from third parties.

Ownership and Licensing:

• Generic and Pre-existing Software: Remains the property of Techiegeeks. Customer receives a royalty-free, non-exclusive, transferable license to use it.
• Standard Model (IP Assignment): Upon full payment, Techiegeeks assigns to Customer the copyright and ownership of Techiegeeks Software, including source and object code.
• White-Label Model (IP License): Customer licenses the software under a white-label arrangement. Techiegeeks retains full ownership. No source code is provided. Customer may rebrand and use the software but may not reverse engineer, modify, or create derivative works.

Techiegeeks may retain copies of the software for archival and reuse purposes and reserves the right to develop similar software independently.

If Customer elects the white-label model, the following terms apply:

• License Scope: Non-exclusive, non-transferable, revocable license to use and rebrand the software.
• Restrictions:
• No access to source code.
• No reverse engineering or derivative works.
• No resale or sublicensing without written consent.
• Termination: Upon termination, Customer must cease use and remove all branded instances.
• Confidentiality: Customer must protect proprietary elements of the software.
• Indemnification: Customer indemnifies Techiegeeks against misuse or breach of license terms.
• Customization: UI and branding changes are allowed but do not confer ownership.

Customer shall pay all fees as outlined in the Agreement. Late payments may incur interest and service suspension. Techiegeeks reserves the right to terminate access for non-payment.

Both parties agree to maintain confidentiality of proprietary information. Customer shall not disclose or distribute any part of Techiegeeks Software without written consent.

Customer is responsible for compliance with all applicable data privacy laws. Techiegeeks may process data as a data processor under applicable regulations.

Techiegeeks disclaims all warranties except those expressly stated. Liability is limited to the amount paid by Customer in the preceding six months. Techiegeeks is not liable for indirect or consequential damages.

Either party may terminate the Agreement with 15 days’ written notice. Techiegeeks may terminate immediately for breach or non-payment.

These Terms are governed by the laws of Florida, US. Any disputes shall be resolved in the courts of Florida, US. These Terms constitute the entire agreement unless otherwise stated.
